Terms of service

These terms are the agreement between you and Amir Digital Manager ("Amir", "we", "us") for using the Amir service: the website we host for your business, the admin panel at amirdm.com, and Amir on WhatsApp and Telegram (together, the "Service"). By subscribing, by messaging Amir on behalf of a business, or by using the admin panel, you agree to them. If you are agreeing on behalf of a business, you confirm you are authorised to do so, and "you" means that business. Our privacy policy explains how we handle information and is part of this agreement.

1. Who can use Amir

Amir is built for businesses. You must be at least 18 and able to enter into a contract. You are responsible for everyone who messages Amir from a phone number or account you have added to your business: Amir treats a message from an authorised number or account as a message from you, which is why it always asks for a confirmation tap before changing anything. Keep those devices and accounts secure, and tell us straight away if one is lost or compromised so we can remove it.

2. What the Service is

We host a website for your business, and you manage its content by messaging Amir: text, voice notes, or photos, in your language. Amir proposes a change, you confirm it, it goes live, and you can undo it with another message. Depending on your plan, requests Amir cannot handle itself can be passed to a human developer, who either solves it for you or builds it into what Amir can do. Plans, their monthly allowances (for example the number of updates or developer escalations per month), and prices are as shown on amirdm.com when you subscribe, or as we agree with you in writing.

Amir is an assistant, not a person, and it can misunderstand. That is why nothing changes on your site until you confirm, and why every change can be reversed. Read what Amir proposes before you tap yes; you are responsible for the changes you confirm.

3. Your content

Everything you publish through Amir - your menu or services, prices, descriptions, hours, photos, logos, and page text - is yours. You give us a licence to store, process, display, and transmit it only as needed to run the Service for you (including sending it to the AI and hosting providers described in the privacy policy). You are responsible for your content: that you have the rights to use it (especially photos and logos), that it is accurate (prices, allergens, opening hours), and that it complies with the law where you operate. When we build a first version of your site from a description or from an existing site, we use placeholder images rather than copying anyone's photographs; replacing them with your own is your job and your right to do.

4. Acceptable use

You agree not to use the Service to:

  • publish content that is unlawful, deceptive, defamatory, infringing, or hateful;
  • sell or promote goods or services that are illegal where you or your customers are;
  • send spam, or collect visitors' information without telling them why;
  • probe, overload, or interfere with the Service or other customers' sites;
  • impersonate another business or person.

We may remove content or pause a site that we reasonably believe breaks these rules, and we will tell you when we do unless the law prevents it.

5. Fees and payment

Plans are billed monthly in advance, at the price in effect when you subscribe. There are no setup fees. Payments are taken by a third-party payment processor (for example Stripe or PayPal) under its own terms; we do not store your full card details. Prices exclude any taxes you are responsible for, and exclude the cost of registering or renewing your own domain name. If a payment fails, we will let you know and retry; if it remains unpaid after 14 days we may pause your site (visitors see a holding page) until the balance is settled. We can change prices or plan allowances with at least 30 days' notice through the channel you use with Amir or by email; the change applies from your next billing period after the notice, and you can cancel before then.

6. Changing plans, cancelling, and refunds

You can move between plans at any time; an upgrade takes effect immediately and a downgrade from your next billing period. You can cancel at any time by telling us; cancellation takes effect at the end of the billing period you have already paid for, and we do not refund partial periods except where the law requires it. Monthly allowances do not roll over. When a subscription ends, your site goes offline; for 30 days afterwards you can ask us for an export of your content, after which we delete it as described in the privacy policy.

7. Developer escalations

Where your plan includes developer escalations, they cover changes to your own site that Amir cannot make yet. We do our best to turn them around quickly, but we do not promise a particular turnaround time, and what counts as one escalation is our reasonable judgement of a single, coherent request. Escalations do not cover building separate products, integrating systems we do not support, or work unrelated to your site; we will tell you when a request falls outside them and, where we can, quote it separately.

8. Custom domains

You can point a domain you own at your site. The domain stays yours; you are responsible for registering and renewing it and for keeping its DNS pointed at the Service while you use us. We provision SSL for it automatically. If you leave, we release the domain from our configuration so you can point it elsewhere.

9. Availability and changes to the Service

We aim to keep your site online around the clock, but the Service depends on third-party networks and providers and we do not guarantee uninterrupted availability. We improve Amir continuously and may change or retire features; if a change materially reduces what your plan offers, we will tell you in advance and you may cancel without penalty.

10. Our intellectual property

The Service itself - the software, Amir's name and mark, the site designs and themes we provide, and the admin panel - belongs to us or our licensors. These terms do not give you any right to copy or resell it, only to use it for your business while you subscribe.

11. Disclaimers

The Service is provided as is. We do not make promises about how much business your site will bring in, that Amir will understand every message, or that the Service will be error-free. Amir is not a substitute for your own judgement about what appears on your site.

12. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, or consequential losses (including lost revenue or profits), and our total liability to you for anything arising out of the Service in any twelve-month period is limited to the fees you paid us in the three months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.

13. Indemnity

You will cover us against claims by third parties that arise from your content or from your use of the Service in breach of these terms - for example a photographer whose image you published without permission.

14. Ending the agreement

You can end it by cancelling as described above. We can end it or suspend the Service with notice if you break these terms, do not pay, or if continuing would expose us or others to legal risk, and we will give you a reasonable chance to put things right where that is practical. Sections that by their nature should survive (your content rights, payment obligations already incurred, disclaimers, liability, and this section) survive termination.

15. Governing law and disputes

These terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law rules. If we have a disagreement, contact us first and we will try in good faith to resolve it within 30 days before either of us starts formal proceedings. Nothing here takes away consumer rights you have under the law where you live that cannot be waived.

16. Changes to these terms

We may update these terms; the date at the top tells you when. For material changes we will give business customers at least 30 days' notice through the channel they use with Amir or by email. Continuing to use the Service after the change takes effect means you accept the updated terms; if you do not, you may cancel before then.
